Terms of Service

1. About this agreement

These Terms of Service ("Terms") form a binding agreement between Nova Wave Media ("Nova Wave", "we", "us", "our") and you, the customer ("you", "your"). By creating an account or using any part of the Nova Wave platform, you agree to these Terms in full.

If you are accepting these Terms on behalf of a company or other legal entity, you confirm that you have the authority to bind that entity to this agreement.

2. Service description

Nova Wave provides a software-as-a-service (SaaS) platform for automated Meta Ads (Facebook and Instagram) campaign management, targeted at Shopify store owners. The service includes:

• —Automated creation, launch, and optimisation of Meta ad campaigns on your behalf.
• —Integration with your Shopify store to sync product data, order history, and customer segments.
• —A live dashboard with campaign performance metrics, ROAS tracking, and reporting.
• —AI-assisted campaign analysis and recommendations.
• —Transactional email notifications (campaign alerts, reports, billing).

We reserve the right to modify, suspend, or discontinue any feature of the service at any time, with reasonable prior notice where practicable. We will not make changes that materially degrade the core service without notifying you at least 30 days in advance.

3. Account and access

You must provide accurate and complete information when creating your account and keep that information up to date. You are responsible for all activity that occurs under your account. You agree to notify us immediately at privacy@novawave.app if you suspect any unauthorised access.

You may not share your login credentials, allow third parties to access your account on your behalf without our written consent, or use the service in a way that violates applicable law or these Terms.

4. Customer responsibilities

You are solely responsible for:

• —Ensuring you have the legal right to advertise your products and services in all jurisdictions where your ads are shown.
• —Complying with Meta's advertising policies, community standards, and terms of service.
• —Complying with Shopify's terms of service and data protection obligations to your own customers.
• —The ad budget you authorise through your connected Meta Ads account — Nova Wave manages campaigns but does not control Meta's billing directly.
• —Ensuring that the access tokens and credentials you provide to Nova Wave are valid, current, and authorised.
• —The accuracy and legality of all product information, promotional claims, and creative content related to your campaigns.

5. Billing and payment

Nova Wave subscriptions are billed monthly in advance. All payments are processed securely by Stripe. Prices are displayed in EUR and are exclusive of any applicable taxes unless stated otherwise.

Your subscription begins with a 7-day free trial. You will not be charged during the trial period. After the trial ends, your chosen plan fee will be charged automatically on a recurring monthly basis until you cancel.

If a payment fails, we will attempt to retry the charge. If the payment remains outstanding after reasonable retry attempts, we reserve the right to suspend or terminate your access to the service.

6. Cancellation

You may cancel your subscription at any time from your dashboard or by contacting us at privacy@novawave.app. Cancellation takes effect at the end of your current billing period — you will retain full access to the service until that date and will not be charged for the following period.

We do not offer refunds for partial months or unused service, except where required by applicable law.

We may suspend or terminate your account immediately if you materially breach these Terms, fail to make payment, or if we are required to do so by law. In cases of termination for cause, no refund will be issued.

7. Intellectual property

The Nova Wave platform, including its software, design, analytics, and AI models, is owned by Nova Wave Media and protected by applicable intellectual property law. You are granted a limited, non-exclusive, non-transferable licence to use the platform solely for the purpose of managing your own marketing campaigns during your active subscription.

You retain full ownership of your own business data, creative assets, and content. By connecting your accounts, you grant Nova Wave a limited licence to access and process that data solely to deliver the service as described in these Terms and our Privacy Policy.

8. Limitation of liability

To the maximum extent permitted by applicable law, Nova Wave shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: loss of revenue or profits, loss of data, loss of goodwill, or costs of procuring substitute services, arising out of or relating to these Terms or your use of the service.

Our total cumulative liability to you for any claims arising under these Terms shall not exceed the total fees paid by you to Nova Wave in the three (3) months immediately preceding the event giving rise to the claim.

Nova Wave does not guarantee specific advertising results (such as ROAS targets, lead volumes, or revenue outcomes). Campaign performance depends on many factors outside our control, including Meta's algorithms, market conditions, and the quality of your products and creative assets.

9. Indemnification

You agree to indemnify, defend, and hold harmless Nova Wave, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your breach of these Terms, your violation of any third-party rights, or your use of the service in a manner not authorised by these Terms.

10. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email at least 14 days before the changes take effect. Your continued use of the service after that date constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you may cancel your subscription before the changes take effect.

11. Governing law and jurisdiction
